SPONSORSHIP AGREEMENT

This Sponsorship Agreement (the "Agreement") is made on 04/03/2025 02:52 AM by and between ("Sponsor") and ("Fighter"). WHEREAS, Sponsor desires to engage Fighter to perform certain services for Sponsor, as described herein; and WHEREAS, Fighter is a professional boxer who has agreed to use the boxbid.io marketing platform to obtain sponsorships; NOW, THEREFORE, in consideration of the mutual promises and covenants set forth herein, Sponsor and Fighter agree as follows: Services to be Performed by Fighter

1. Fighter agrees to perform the following services for Sponsor for the campaign 04/03/2025 02:52 AM

Sponsorship Payment

2. Sponsor shall pay to Fighter the sum of for the sponsorship, which shall be paid through the boxbid.io marketing platform via Stripe api. All payments will be upfront to secure a successful and transparent transaction. Sponsor acknowledges that winning a bid or buying a sponsorship does not guarantee the rights to a sponsorship until Fighter signs the contract. In the event that Fighter does not accept the sponsorship, all payments will be refunded to Sponsor in full. The user who is paying for the sponsorship agrees he has full authorization to make payments on behalf of the company. All payments are made via Stripe API through secure ACH payment systems. Boxbid.io acts as an intermediary holding the payment until the boxer performs his contractual obligations

Fees & Comissions

3. Boxbid.io is a for profit organization. The fees and commissions are being paid for by the boxer. Sponsors will have no additional service charges added to their invoices. In the event that a sponsorship needs to be modified it must all be done via the platform through a new sponsorship package

Term of Agreement

4. This Agreement shall commence on 04/03/2025 02:52 AM and shall continue until the services described herein are completed, whichever occurs first.

Representations and Warranties

5. Fighter represents and warrants to Sponsor that: (a) Fighter has the legal right and authority to enter into this Agreement; (b) Fighter has the necessary skill, experience, and qualifications to perform the services described herein; and (c) Fighter is not currently under contract with any other sponsor that would conflict with the sponsorship described herein. Indemnification and Liability (a) Sponsor releases boxbid.io of any liability, as it is a marketing platform for fighters and sponsors to transact business transparently

6. (b) In the event of a breach of this Agreement, Sponsor shall mediate damages with boxbid.io and all liability falls on Fighter for not performing sponsorship tasks. If the sponsor can’t come to an agreement a partial payment will be refunded immediately to sponsor and damages will be paid by professional boxer

7. Since boxbid.io is a technology company which connects boxers and sponsors to transact in a transparent manner by signing this agreement both the boxer and sponsor release boxbid.io of any liabilities or potential lawsuits for breach of contract by any parties. Governing Law

8. This Agreement shall be governed by and construed in accordance with the laws of the State of Nevada.

Entire Agreement

9. This Agreement constitutes the entire agreement between the parties and supersedes all prior negotiations, understandings, and agreements between the parties, whether written or oral.

Cancellation

10. In the event of a cancellation of the fight the campaign will automatically be postponed and the funds will carry over to the next fight. In the event that the sponsor feels that the campaign is not up to par with the previous, and in their best interest they can cancel the campaign and a refund will be issued to the sponsor. No penalties will occur to either party and both parties acknowledge no wrongdoing. IN WITNESS WHEREOF, the parties have executed this Agreement as of the date first above written.
